Terms of Service

1. Acceptance and Parties

These Terms of Service (“Terms”) form a legally binding agreement between YACOSMART LTD, a private limited company registered in England and Wales (Company No. 16937189), with its registered office at 192 Downing Road, Dagenham, England, RM9 6LU (“we”, “us”, “our”), and the business or individual creating an account (“you”, “Customer”).

By registering for or using AITicketFlow, you confirm that you have the authority to bind your organisation to these Terms. If you do not agree, do not create an account or use the service.

AITicketFlow is a business-to-business service. It is not directed at consumers as defined under the Consumer Rights Act 2015. If you are an individual acting outside the course of a business, these Terms may not adequately protect your rights and you should seek independent advice.

2. Account Registration and Access

You must provide accurate, current, and complete information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@aiticketflow.com if you suspect unauthorised access or a security breach.

Each agent seat must correspond to an individual named user. You may not share a single login among multiple people. You are responsible for ensuring that your users comply with these Terms.

3. Subscription, Billing, and Auto-Renewal

AITicketFlow is offered on monthly subscription plans priced per agent seat in EUR. Your subscription starts on the date you first subscribe and renews automatically each month on the same calendar date until you cancel.

By subscribing, you authorise YACOSMART LTD to charge your payment method on file via Stripe on a recurring monthly basis. You are responsible for ensuring your payment details remain valid. Failed payments may result in suspension of your account.

Prices are as displayed at the time of subscription. We may change prices with at least 30 days' written notice by email. If you do not agree to a price change, you may cancel before the new price takes effect. Continued use after the effective date constitutes acceptance of the new price.

4. Cancellation and Termination

You may cancel your subscription at any time from your account settings under Billing. Cancellation takes effect at the end of your current billing period and you retain full access until that date. No refunds are issued for unused time in the current period except as set out in our Refund Policy.

Either party may terminate the agreement immediately by written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice specifying the breach.

5. Acceptable Use

You may use AITicketFlow only for lawful business purposes and in accordance with these Terms. You must not:

  • Use the service for any purpose that is unlawful or prohibited by applicable law
  • Attempt to reverse engineer, decompile, or extract source code from the platform
  • Scrape, harvest, or systematically extract data from the platform by automated means
  • Overload, attack, or interfere with the service or its underlying infrastructure
  • Circumvent usage limits, access controls, or security features
  • Resell or sublicense access to the service without our prior written consent
  • Submit content that infringes third-party intellectual property rights
  • Use AI routing features to process special category personal data (as defined by UK GDPR) without first agreeing a data processing addendum with us
  • Use the service to send unsolicited communications or engage in any form of spamming

We reserve the right to investigate suspected violations and, where confirmed, to suspend or terminate your account in accordance with Section 13.

6. Customer Data

You retain full ownership of all data you upload to, generate within, or transmit through AITicketFlow (“Customer Data”). We make no claim to any intellectual property rights in Customer Data.

You grant YACOSMART LTD a limited, non-exclusive, worldwide licence to store, process, and use Customer Data solely to the extent necessary to provide, maintain, secure, and improve the service for you. We will not sell Customer Data or use it for advertising.

Where Customer Data contains personal data, our processing is governed by our Privacy Policy and, where required by law, a Data Processing Agreement. On termination of your account, you may export your data for up to 30 days following the termination date, after which we may delete it from our systems.

7. AI and Machine Learning Processing

AITicketFlow uses large language models (LLMs) and other AI/ML techniques to classify, categorise, and route support tickets. By using the service, you acknowledge and consent to ticket content — including ticket text, metadata, and agent notes you submit — being processed by these models for the purpose of providing the routing service.

We take reasonable technical and contractual steps to minimise the transmission of personal data to third-party AI providers. Where third-party LLM APIs are used, they are governed by data processing agreements. Ticket content is not used to train third-party foundation models unless you separately and explicitly agree to this in writing.

AI routing outputs are probabilistic. We do not warrant that classifications or routing decisions will be accurate in every case. You are responsible for reviewing routing decisions and for the actions taken by your support team on the basis of those outputs.

8. Confidentiality

Each party may receive information from the other that is marked as confidential or that a reasonable person would understand to be confidential given the circumstances of disclosure (“Confidential Information”). Each party agrees to: (a) keep the other party's Confidential Information strictly confidential; (b) not disclose it to any third party without prior written consent, except to employees or contractors who need access to fulfil obligations under these Terms and who are bound by equivalent confidentiality obligations; and (c) use it only for the purposes of these Terms.

These obligations do not apply to information that is or becomes publicly available without breach of these Terms, was already known to the receiving party without restriction, or is required to be disclosed by law or court order (in which case the disclosing party will give the other as much notice as is legally permissible).

9. Intellectual Property

YACOSMART LTD owns all rights, title, and interest in and to AITicketFlow, including the platform, software, AI models, algorithms, user interface, documentation, and all related intellectual property rights. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the service during your active subscription for your internal business purposes only. No other rights are granted.

Any feedback, feature suggestions, or improvement ideas you share with us may be used by us to develop and improve the service without any obligation or compensation to you.

10. Warranties and Disclaimers

We warrant that we will provide AITicketFlow with reasonable skill and care and will use commercially reasonable efforts to maintain service availability. We will notify you of planned maintenance in advance where practical.

We do not warrant that the service will be uninterrupted, error-free, or free from security vulnerabilities. We do not warrant that AI routing outputs will be accurate in all cases. Except as expressly set out in these Terms, the service is provided “as is” and “as available.” All implied warranties, conditions, and terms are excluded to the maximum extent permitted by applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or loss of business opportunity, even if that party has been advised of the possibility of such damages.
  • Our total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes either party's liability for: fraud or fraudulent misrepresentation; death or personal injury caused by negligence; or any other liability that cannot be limited or excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless YACOSMART LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the service in violation of these Terms; (b) Customer Data that infringes any third-party intellectual property, privacy, or other rights; or (c) your violation of any applicable law or regulation.

13. Suspension and Termination Rights

We may suspend or restrict your access to the service with immediate effect if:

  • We reasonably believe you are in material breach of these Terms
  • Your account is subject to a payment dispute, chargeback, or fraud investigation
  • Your use poses a security or legal risk to us or to other customers
  • We are required to do so by law, court order, or regulatory authority

Where legally permitted, we will notify you of any suspension and its reason. We will restore access promptly once the underlying issue is resolved. Suspension does not affect your obligation to pay any outstanding amounts.

14. Changes to the Service and These Terms

We may update, modify, or discontinue features of AITicketFlow at any time. Where a change materially reduces the functionality of the service, we will provide reasonable advance notice.

We may update these Terms at any time. If we make material changes, we will notify you by email or in-app notification at least 14 days before those changes take effect. Your continued use of the service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

15. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
